AgencyAutoDev Terms of Service

Welcome to AgencyAutoDev ("AgencyAutoDev", "we", "us", or "our").

These Terms of Service ("Terms") govern your access to and use of the AgencyAutoDev website, software platform, documentation, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

For purposes of these Terms:

  • "Account" means an account created by a User to access the Service.
  • "Agency" means the customer organization that subscribes to the Service.
  • "Client" means a third-party customer of an Agency who may access a portal provided through the Service.
  • "Content" means any data, documents, files, designs, images, mockups, project metadata, comments, messages, approvals, or other information submitted to the Service.
  • "User" means an individual authorized to use the Service under an Agency account, including agency owners, employees, contractors, and authorized clients.

2. Eligibility

You must be at least 18 years old to use the Service.

By using the Service, you represent and warrant that:

  • you are at least 18 years old
  • you have the legal authority to enter into these Terms
  • you will comply with all applicable laws and regulations

3. Account Registration and Responsibility

To access certain features of the Service, you may be required to create an Account.

You are responsible for:

  • maintaining the confidentiality of your login credentials
  • all activity that occurs under your Account
  • ensuring your Users comply with these Terms

You agree to notify us immediately of any unauthorized access or suspected security breach.

4. Subscription, Billing, and Payment

AgencyAutoDev is offered as a paid subscription service.

4.1 Subscription Fees

Subscription pricing is displayed on the Pricing page or provided through a signed agreement. By subscribing, you agree to pay all fees associated with your subscription.

4.2 Payment Terms

Subscription fees are billed on a recurring basis unless otherwise stated. Failure to pay may result in suspension or termination of access to the Service.

4.3 Taxes

All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying any applicable taxes related to your subscription.

4.4 Refunds

Unless otherwise stated in writing, subscription payments are non-refundable.

5. License and Permitted Use

Subject to these Terms and your subscription status, AgencyAutoDev grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations.

You may use the Service only for lawful business purposes.

You agree not to:

  • copy, modify, or create derivative works of the Service
  • reverse engineer, decompile, or attempt to extract source code (except as permitted by law)
  • resell, sublicense, or distribute the Service without written permission
  • use the Service to develop a competing product
  • abuse, overload, or disrupt the Service

6. Client Portals and Third-Party Access

AgencyAutoDev may allow Agencies to create client portals and invite third parties ("Clients") into the system.

The Agency is solely responsible for:

  • determining what Clients may access
  • ensuring that Client information is accurate
  • managing Client permissions
  • ensuring that Client use complies with these Terms

We are not responsible for disputes between an Agency and its Clients.

7. Content Ownership

7.1 Your Content

You retain ownership of all Content you submit to the Service. By submitting Content, you grant AgencyAutoDev a worldwide, non-exclusive license to host, store, process, transmit, and display such Content solely to provide and improve the Service.

7.2 Client Content

Clients may submit Content into portals owned by an Agency. The Agency is responsible for all Content submitted by its Clients.

8. AI-Generated Output and Responsibility

AgencyAutoDev may include features that generate content, documentation, mockups, project deliverables, or workflow recommendations using automated systems or artificial intelligence.

You acknowledge and agree that:

  • AI-generated output may contain errors
  • AI-generated output must be reviewed before being used in production environments
  • you are solely responsible for decisions made using AI-generated output

AgencyAutoDev makes no warranty regarding the accuracy, completeness, or fitness of AI-generated output.

9. Acceptable Use Policy

You agree not to use the Service to:

  • violate any applicable law or regulation
  • transmit malware, spyware, or harmful code
  • attempt unauthorized access to any system or network
  • impersonate another person or entity
  • distribute illegal, infringing, or abusive content
  • store or transmit sensitive personal data without proper legal authority

We reserve the right to investigate and suspend accounts for violations.

10. Security and Data Protection

AgencyAutoDev uses reasonable administrative, technical, and organizational measures to protect the Service.

However, you acknowledge that no system is perfectly secure.

You are responsible for:

  • ensuring your own internal security practices
  • managing user permissions
  • securing your own infrastructure integrations
  • maintaining backups where appropriate

11. Availability and Service Modifications

We may modify, suspend, or discontinue any part of the Service at any time. We will attempt to provide reasonable notice for major changes, but we are not obligated to do so.

We do not guarantee uninterrupted availability.

12. Third-Party Services and Integrations

The Service may integrate with third-party services such as:

  • GitHub
  • Stripe
  • hosting providers (Vercel, AWS, DigitalOcean, etc.)
  • analytics tools

Your use of third-party services is subject to their own terms. AgencyAutoDev is not responsible for the availability or performance of third-party services.

13. Intellectual Property

The Service, including all software, branding, UI components, documentation templates, and design systems, is owned by AgencyAutoDev and protected by intellectual property laws.

You may not use our trademarks, logos, or branding without written permission.

14. Confidentiality

You agree not to disclose confidential information received through the Service.

Confidential information includes non-public information about:

  • AgencyAutoDev's product roadmap
  • internal platform systems
  • pricing agreements not publicly listed
  • platform technical details shared under NDA

15. Termination

15.1 Termination by You

You may cancel your subscription according to your billing plan.

15.2 Termination by Us

We may suspend or terminate your access if:

  • you violate these Terms
  • you fail to pay subscription fees
  • your usage poses a security risk
  • your usage disrupts the Service

Upon termination, your license to use the Service ends immediately.

16. Data Retention

Upon termination or cancellation, we may retain your data for a limited period of time. We may delete your Content after that retention period unless otherwise required by law or agreed in writing.

You are responsible for exporting any Content you wish to retain before termination.

17. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AGENCYAUTODEV SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO AGENCYAUTODEV IN THE 3 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnification

You agree to indemnify and hold harmless AgencyAutoDev from any claims, liabilities, damages, losses, or expenses arising from:

  • your use of the Service
  • your Content
  • your violation of these Terms
  • disputes between you and your Clients

20. Governing Law

These Terms shall be governed by and interpreted under the laws of the United States, without regard to conflict of law principles.

21. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration or courts located in the United States, unless otherwise required by law.

22. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and provide notice where required. Continued use of the Service constitutes acceptance of the updated Terms.
